TERMS OF USE OF WEBSITE

1.       Scope

1.1        These Terms of Use of Website (“Terms of Use”) govern your access and use of www.seco.com.my website (“Website”) as well as any services, information and functions (collectively referred to as “Services”) we may provide through our Website.

1.2        The Terms of Use constitute a legal agreement between you and S ECOSYSTEM (M) SDN BHD (Company No.: 202101020130 (1420430-D), a company incorporated in Malaysia and having its business address at 11, Jalan Astana 5/KU2, Bandar Bukit Raja, 41050 Klang, Selangor. (“S Ecosystem”, “we”, “us” or “our”).

1.3        Before using the Website and/or the Services, you must read carefully and accept these Terms of Use and all other terms, conditions and policies pertaining to the use of the Website and/or the Services and you must consent to the processing of your personal data as described in the Privacy Notice set out at https://www.seco.com.my/terms-and-conditions/. The Terms of Use, all other terms, conditions and policies pertaining to the use of the Website and/or the Services; and the Privacy Notice shall be collectively referred to as “S Ecosystem Terms and Conditions”. By viewing, accessing and/or using the Website and/or the Services, you agree to be bound by S Ecosystem Terms and Conditions and any amendments to the foregoing issued by us from time to time. If you do not agree to S Ecosystem Terms and Conditions, do not view, access and/or use this Website and/or the Services.

1.4        If you decide to make a purchase on the Website, please read carefully the Terms and Conditions for Online Purchase before you make an offer. The Terms and Conditions for Online Purchase is part of the S Ecosystem Terms and Conditions.

1.5        S Ecosystem reserves the right to change, vary, amend, modify, add or remove portions of the S Ecosystem Terms and Conditions at any time without any liability to you. Changes will be effective and supersede all previous versions when posted on the Website with no other notices provided and you are deemed to be aware of and bound by any changes to the foregoing upon their publication on the Website. 2.       Definition and Interpretation

2.1        In these Terms of Use:

(a)  “Affiliated Parties” shall means all subsidiaries and affiliates of S Ecosystem, third party service-provider and their respective officers, agents, partners and employees;

(b) “Content” means all information, materials, documents, texts, content, data, software, graphics, icon, photographs, sound, images, music, videos, animations, trademarks, patterns, charts, visual interfaces and code available on the Website and the Services including but not limited to the ideas, design, structure, expression and display, their selection and arrangement, magnetic translation, digital conversion, software compilations and underlying source code;

(c) "Intellectual Property Rights" means any and all intellectual and industrial property rights now in force or that come into force in the future in any part of the world whether or not registered or registrable and includes all applications and rights to apply for registration (and renewals and extensions of any registration) of such rights as well as all rights of action and remedies in relation to past infringements including rights in or in connection with:-

The posting of information or materials on the Website by S Ecosystem does not constitute a waiver of any right in such information and materials and you do not acquire ownership rights to any content, document or other materials viewed through the Website. 3.2         The Website, Services and Contents are protected by Intellectual Property Rights owned or controlled by us and/or our licensors. 3.5         Regarding S Ecosystem’s Intellectual Property Rights on the trade names, trademarks, service marks and logo, your access or use of the Website, Services and Contents shall not be construed as granting by implication, estoppel or otherwise, any license or right to use the S Ecosystem’s Intellectual Property Rights without S Ecosystem’s prior written consent. Any use of S Ecosystem’s Intellectual Property Rights without S Ecosystem’ written consent is unlawful and expressly prohibited.

3.6         If you have, or S Ecosystem in its sole discretion is of the view that you have violated or infringed or may violate or infringe our or our licensor’s Intellectual Property Rights, we shall be entitled, at our discretion to terminate or suspend service and/or access to this Website (or any portion thereof) and/or your account.

3.7         If you notice or believe that our or our licensor’s Intellectual Property Rights on the Website is being infringed by a user of this Website, please contact us in the manner provided in Clause 20.

 

4.       Use of Website and Disclaimer

4.1         The information from or through the Website, Services and Content are provided "as-is," "as available" and “with all faults”. We may use third-party service providers to monitor and analyse the use of our Service.

4.2         Your use of and access to the Website and Services and reliance upon the Content on the Website shall be at your own risk, and you are solely responsible for all acts or omissions that occur when using the Website and Services. You agree that it is your responsibility to monitor any changes to the information and material contained on this Website, and you acknowledge that the access to and use of Website and Services may not be secure. 4.4         Without limitation to the foregoing, S Ecosystem disclaim all warranties, express, implied or statutory with respect to the Website, Services and Content to the fullest extent permitted by laws including but not limited to the disclaimer of all warranties of:-

(a) safety, legality, merchantability, satisfaction, fitness for a particular use or purpose, title, non-infringement of Intellectual Property Rights and compatibility of the Services;

(b) the security, continuity, availability, accessibility, timeliness, error-free and uninterrupted use of the Services;

(c) the truth and accuracy of the Content or subsequent modifications thereto;

(d) the actions and omissions of users whether occurred on or outside the Services;

(e) any deletion, non-delivery or failure to store any user communications or personalised settings;

(f) the inability to use the Services or inability to receive any messages received or transactions entered through the Services;

In particular, but not as a limitation, we and our Affiliated Parties are not liable for any direct, indirect, special, incidental, punitive, exemplary or consequential loss and damage (including without limitation damages for loss of business, loss of revenue, loss of profits, loss of goodwill, loss of use, business interruption, litigation or other intangible losses) suffered or incurred by you arising out of or in connection with this Website and Services (including without limitation use, access, interruption, interference or damage to your own computer system, inability to use or the results of use) whether such damages are based on breach of contract, breach of warranty, tort (including negligence), statute (to the fullest extent permitted by law), product liability or any other legal theory and even if we have been advised of or should have known of the possibility of such damages. 4.7         No advice or information, whether oral or written, obtained by you through the Website or from S Ecosystem or the Affiliated Parties shall create any warranty, representation or guarantee not expressly stated in these Terms of Use and we shall disclaim all equitable indemnities. We further disclaim all liability in relation to any endorsement or recommendation of any person, organisation, name, product or service referred to in the Website and all information or materials posted by advertisers or sponsors on the Website, if any.

4.8         The information on the Website is directed solely at persons accessing the Website from Malaysia. We make no representation that any product or service referred to on the Website is available or appropriate for use for any other location.

4.9         The Website and Service is intended only for access and use by individuals at least eighteen (18) years old. By accessing or using Website and Service, you warrant and represent that you are at least eighteen (18) years of age and with the full authority, right and capacity to enter into this agreement and abide by all of the S Ecosystem Terms and Conditions. If you are not at least eighteen (18) years old, you are prohibited from both the access and usage of Website and Service.

5.1         You shall use the Website and Services for personal use and lawful purposes only in accordance with these Terms of Use. You expressly acknowledge, undertake, warrant and/or agree that:-

(a) you will not use the Website and Services for any purposes against public interest, public order or national harmony or for any unlawful matters or purposes;

6.       Account, Password and Security

6.1         All or part of the Services may only be available to you if you have an account. In such circumstances, you may be required to register an account by providing certain personal details and create your password in order to access certain Services. When you create an account with us, you guarantee that you are above the age of 18, and that the information you provide to us is true, accurate, complete and current at all times. Inaccurate, incomplete or obsolete information may result in the immediate termination of your account on Service.

If your failure to maintain the confidentiality of your account information leads to your account being used by others, which further leads to damages to S Ecosystem or other visitors to this Website, you shall be held liable for such damages.

6.4         S Ecosystem shall not be liable for any loss or damage which you and/or any third party suffers or may suffer as a result of instructions or transactions transmitted via the Services after successful usage of your password whether or not such usage was authorized by you. You shall keep S Ecosystem fully indemnified against all loss or damage which S Ecosystem suffers or may suffer in connection, whether directly or indirectly, with usage of your password whether by you or any third party, authorized or otherwise.

6.5         S Ecosystem reserves the right to remove or edit content, invalidate, terminate or suspend your account or require that you change your password or restrict or terminate your access to this Website or refuse Services, as we deem reasonably necessary at any time without being obliged to offer you any explanation or prior notice. S Ecosystem shall not be liable for any loss or damage which you may suffer as a result of such invalidation, suspension, restriction and/or termination.

6.6         You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you, without appropriate authorization. You may not use as a username any name that is offensive, vulgar or obscene.

7.       Rights of S Ecosystem

7.1         We reserve the right to perform the following actions at any time in our sole discretion without giving notice to you:-

(a) suspend, discontinue or terminate operation or access to all or any part of the Website, Services and/or Contents at any time irrespective of the reason;

(b) edit, delete, modify, fix or alter all or part of the Content of this Website as well as any applicable policies, terms or clauses;

(c) suspend operation of all or part of the Website for the purposes of maintenance, alteration of errors or other such changes at regular or irregular intervals;

(d) withdraw or amend our Service, and any service or material we provide via Service;

(e) restrict access to some parts of Services or the entire Services to users, including registered users; and/or

(d) unforeseeable technical issues.

(a) investigate the aforesaid violations, misuse and/or abuses whereby you shall fully cooperate with S Ecosystem’ investigations in respect of these matter;

(b) investigate and help prevent security threats, fraud or other illegal, malicious, or inappropriate activity; and

(c)  report any activity that it suspects violates any law or regulation to appropriate law enforcement officials, regulators or other appropriate third parties. S Ecosystem's reporting may include disclosing appropriate information that you may have provided. S Ecosystem also may cooperate with appropriate law enforcement agencies, regulators or other appropriate third parties to help with the investigation and prosecution of illegal conduct by providing network and systems information related to alleged violations, misuse and/or abuses of this S Ecosystem Terms and Conditions.

7.5         If we have reason or cause to suspect that you are not complying with your responsibilities and obligations under these Terms of Use, you may be required to cease utilizing the Website and Services or any part thereof for such period as may be required by S Ecosystem. You shall comply with all notices or directions relating to your use of the Services as we may see fit to issue from time to time.

7.6         By accessing and using the Website and Services, you agree to waive and hold S Ecosystem harmless from any claims relating to any action taken by S Ecosystem under this Clause or these Terms of Use including the conduct of an investigation, issuance of a warning, refusal, removal, modification or denial of access to Content, account, products or services, suspending or terminating the Services, or other appropriate action in relation to any suspected or alleged breach of this Terms of Use.

Accordingly, where a court or an arbitrator holds or finds S Ecosystem liable to you for any breach or default, you agree that the scope of such warranty and the maximum amount of damages payable by S Ecosystem shall be limited to the minimum scope and amount provided by such applicable law to the fullest extent by such applicable law. Limitation of liability stipulated in this Clause shall be applicable, irrespective of whether the loss is due to breach of contract, breach of guarantee, errors or infringements, negligence or misrepresentation, strict liability or any other reasons.

 

11.       Indemnification

In the event of any third-party request, loss, liability, proposition, or expense (including lawyer's fees) brought against S Ecosystem arising from or relating to your usage of this Website, you agree to indemnify, defend and hold harmless S Ecosystem and our Affiliated Parties in full from and against any and all claims, liabilities, damages, losses, costs, expenses, demands, actions, penalties or fees (including reasonable attorneys’ fees) that S Ecosystem may incur as a result of or arising out of or on connection with your (or anyone using your account’s) access or use of the Website and/or Service, your negligence or any omission, act or breach or violation of this Terms of Use by you or any other persons using your account (whether or not expressly authorised by you). S Ecosystem reserves the right to assume the exclusive defence and control of any matter otherwise subject to indemnification by you and, in such case, you agree to co-operate with S Ecosystem’s defence of such claim.

 

12.       Feedback

12.1       Certain areas of this Website (e.g. quick chat, messenger, ratings and review, contact form and email support) and any other forum, channel or medium may permit you to post, submit or send us suggestions, ideas, notes, concepts, feedback, information, data, text, software, music, sound, photographs, graphics, video, messages or other materials (each, a "Feedback"). You agree that you are solely responsible for all of your Feedbacks and the content which you post or transmit through the Website or actions that are performed via your account including its legality, reliability, and appropriateness. Any such Feedback is considered both non-confidential and non-proprietary. Further, you acknowledge and agree that you shall not retain, acquire or assert any Intellectual Property Right or other right, title or interest in or to the Feedback and you shall not have any recourse through S Ecosystem or any third party to edit or delete any Feedback you have submitted.

12.2       By submitting the Feedback, you undertake, represent and warrant that your Feedback and/or any information contained in your Feedback is yours (you own it) and/or you have the right to use it and the right to grant us the rights and license as provided in these Terms of Use, and that Feedback:-

(a) does not infringe the Intellectual Property Rights, privacy rights, publicity rights, contract rights or any other legal or moral rights of any person or entity. We reserve the right to terminate your account if your Feedback infringes any of the aforementioned rights;

(b) does not violate any laws and regulations including without limitation the Communications and Multimedia Act 1998;

(c) is not false, inaccurate, misleading, illegal and/or unlawful;

(d) is not and may not reasonably be considered to be defamatory, offensive, indecent, objectionable, libellous, infringing, abusive, threatening, harmful, hateful, racially, sexually, ethnically, religiously or otherwise biased or offensive, harassing or harmful to any individual, partnership or corporation, vulgar, pornographic, obscene or privacy invasive;

(e) does not incorporate materials from a third-party web site or addresses, email addresses, contact information or phone numbers other than your own;

(f) does not contain any viruses, worms, spyware, adware or other potentially damaging programs or files;

(g) does not contain any information of you or any third party that is confidential, proprietary, personal or otherwise objectionable material of any kind or nature; and

(h) does not contain or constitute any unsolicited or unauthorized publishing,  advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes or any other form of solicitation.

12.3       You further represent and warrant that you own or otherwise control all the rights to the Feedback that you post; that the Feedback is accurate; that the use of the Feedback you supply does not violate the S Ecosystem Terms and Conditions and will not cause injury to any person or entity.

12.4       All Feedback shall be deemed and shall remain our sole and exclusive property and shall not be subject to any obligation of confidentiality on our part. Without limiting the foregoing, we shall be deemed to own all known and hereafter existing rights of every kind and nature regarding the Feedbacks and shall be entitled to unrestricted and free use of the Feedbacks for any purpose whatsoever, without compensation to the provider of the Feedbacks and including to:-

(a) use, distribute, reproduce, modify, adapt, publish, translate, create derivative works from, publicly perform and publicly display your Feedbacks or any modification thereto in whole or in part, in any format or medium now known or later developed;

(b) use, disclose to and permit any third-party to use your Feedback in any manner and for any purpose including without limitation commercial purposes that S Ecosystem deems appropriate in its sole discretion, without obligation of confidence on the part of S Ecosystem and the recipient; including without limitation to incorporate your Feedback or any modification thereto, in whole or in part, into any technology, product or service; and

(c) display advertisements in connection with your Feedback and to use your Feedback for advertising and promotional purposes.

12.5       In the event the transfer of the ownership to the Feedback is not possible due to applicable mandatory laws, you grant to S Ecosystem and its affiliates an exclusive, transferable, irrevocable, free-of-charge, sub-licensable, unlimited and perpetual right to use (including copy, modify, create derivative works, publish, distribute and commercialize) Feedback in any manner and for any purpose.

12.6       S Ecosystem has the right but not the obligation to pre-screen, monitor and edit all Feedback submitted to the Website or channel and medium through which Feedback may be submitted. S Ecosystem is not required to host, display or distribute any Feedback on or through this Website as it is up to S Ecosystem to decide whether any of the Feedback is prohibited. S Ecosystem may remove, refuse, modify or deny access to the Feedback at any time for any reason. S Ecosystem is not responsible for any loss, theft, or damage of any kind to any Feedback.

12.7       We take no responsibility and assume no liability for Feedback you or any third-party posts on or through the Website. You shall indemnify, defend and hold harmless S Ecosystem and our Affiliated Parties in full from and against any and all claims, liabilities, damages, losses, costs, expenses, demands, actions, penalties or fees (including reasonable attorneys’ fees) that S Ecosystem may incur as a result of or arising out of or on connection with your (or anyone using your account’s) Feedback.

12.8       In addition, you shall not distribute, modify, transmit, reuse, download, repost, copy or use said Feedback, whether in whole or in part, for commercial purposes or for personal gain, without express advance written permission from us.

 

13.      Breach and Termination

13.1       We may terminate or suspend your account and bar access to Website and Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever including but not limited to a breach or deems breach of any of these Terms of Use. If S Ecosystem revokes your access to this Website as a result of you having breached these Terms of Use, S Ecosystem assumes no liability towards you or any third-party. Nothing herein contained shall be construed to limit our right to seek all remedies available at law and in equity for violations of these S Ecosystem Terms and Condition.

13.2       If you wish to terminate your account, you may simply discontinue using Service.

13.3       All provisions of these Terms of Use which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

 

14.       Assignment

14.1       You may not assign or transfer your rights or obligations under these Terms of Use without the prior written consent of S Ecosystem, and any assignment or transfer in violation of this provision shall be null and void.

14.2       You agree and consent that we may assign all or any part of our rights under the Terms of Use to our related corporations or any third party with or without notice in writing to you.

14.3       You further agree and consent that we may novate all or any part of our rights and/or obligations under the Terms of Use to our related corporations or any third party with or without notice in writing. Your continued usage of the Website and Services will be deemed as your consent to such novation.

Any notices or Feedback to be given to you may be given in such manner as provided in Clause 20. We may respond to you by e-mail or by posting notices on this Website or any other electronic means. You agree that all such notices, disclosures and other communications that S Ecosystem provides to you electronically satisfy any legal requirement that such communications be in writing.

 

16.       Entire Agreement

S Ecosystem Terms and Conditions constitutes entire, exclusive, final, complete and only agreement and understanding between us and you with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements or negotiations between you and us with respect to the same. You acknowledge that by entering into these Terms of Use, neither you nor we have relied on any representations, warranties and undertaking given by the other or implied from anything said or written between you and us, except as expressly stated herein the Terms of Use.

 

17.      Choice of Law and Venue

By accessing and using the Website and/or Services, you agree that such access and/or use, as well as these Terms of Use shall be governed by and will be construed in accordance with the laws of Malaysia notwithstanding that it is or may be accessible or viewed in any other jurisdiction. You irrevocably agree to the exclusive jurisdiction by the Malaysian Courts to settle any dispute which may arise out of, under or in connection with these Terms of Use.

 

18.      Miscellaneous

18.1       The use of the Website and Services are subject to S Ecosystem Terms and Conditions. If there is any conflict or inconsistency between these Terms of Use with any of the S Ecosystem Terms and Conditions, such conflict or inconsistency will be resolved in a manner most favourable to S Ecosystem.

18.2       No delay or indulgence by S Ecosystem in enforcing any terms or conditions of this Terms of Use nor the granting of time by S Ecosystem to you shall prejudice the rights or powers of S Ecosystem nor shall any waiver by S Ecosystem of any breach constitute a continuing waiver in respect of any subsequent or continuing breach.

18.3       If any part of the Terms of Use should be determined to be illegal, invalid or otherwise unenforceable by reason of the laws of any state or country in which these Terms of Use are intended to be effective, then to the extent and within the jurisdiction which that term or condition is illegal, invalid or unenforceable, it shall be severed and deleted from the Terms of Use and the remaining terms and conditions shall survive, remain in full force and effect and continue to be binding and enforceable.

18.4       The Website and Services may be accessed throughout Malaysia and overseas. S Ecosystem makes no representation that the content of the Website and/or Services complies with the laws (including intellectual property laws) of any country outside Malaysia. If you access the Website and/or Services from outside Malaysia, you do so at your own risk and are responsible for ensuring compliance with all laws in the place where you are located.

18.5       Any cause of action or claim you may have with respect to these Terms of Use or the Website must be commenced within six (6) months after the claim or cause of action arises or such claim or cause of action shall be barred.

TERMS FOR ONLINE PURCHASE

1.      Subject and scope

1.1         These Terms for Online Purchase (hereinafter referred to as “Terms”) apply to all orders you place on the Senheng App (hereinafter referred to as “App”) and your subsequent agreement with S ECOSYSTEM (M) SDN BHD (Company No.: 202101020130 (1420430-D), a company incorporated in Malaysia and having its business address at 11, Jalan Astana 5/KU2, Bandar Bukit Raja, 41050 Klang, Selangor (hereinafter referred to as “S Ecosystem”) for purchase of goods and/or services from S Ecosystem. In addition to these Terms, the Terms of Use, the Privacy Notice and all other terms, conditions and policies pertaining to the use of the App and your purchase of goods and/or services on the App shall apply, which you can access the same at the App.

 

1.2         By accessing and/or using the App, you accept these Terms and agree to be bound by them, and an agreement is formed between S Ecosystem and you. If you do not accept these Terms, you must refrain from using this App or making a purchase from this App.

 

1.3         S Ecosystem reserve the right and discretion to revise or amend these Terms from time to time without notice. Such revisions will be effective immediately upon publication on this App. Your continued use of the App following any amendment of these Terms will represent an agreement by you to be bound by these Terms as amended. Any changes to these Terms will apply to any order you place from the effective date of the change. You should therefore periodically visit this page to determine the current terms as it is your responsibility to review the terms for amendments each time you use the App and before placing any order. Whilst S Ecosystem are under no obligation to do so, should S Ecosystem choose to provide you with notice of amended terms, you agree to receive email notification of the amendments from S Ecosystem or a third party.

 

1.4         S Ecosystem reserves the right and sole discretion to limit or terminate your ability to access the App, and/or limit or prohibit your entry into the App at any time without notice and S Ecosystem shall not be liable for such limitation, termination or prohibition.

 

2.      Definition and Interpretation

2.1         In these Terms:

(a) “You” shall mean anyone who access and use the App;

(b) "S Ecosystem" refers to S ECOSYSTEM (M) SDN BHD (Company No.: 202101020130 (1420430-D), a company incorporated in Malaysia and having its business address at 11, Jalan Astana 5/KU2, Bandar Bukit Raja, 41050 Klang, Selangor;

(c) “acceptance of order” means acceptance of Offer by S Ecosystem in the manner provided in Clause 6.6;

(d) “Business Days” refer to Monday to Friday, excluding public holidays in Kuala Lumpur and the respective state (follow the delivery address of each order), weekend and logistic provider non-working days;

(e) “Contact S Ecosystem” means the ways of contacting S Ecosystem whenever you have any questions, enquiries or complaint on S Ecosystem’s goods and/or services, or your order, including:-

i. by calling +60162999364 during operation hours 9.30am – 5.30pm from Monday to Sunday excluded Public Holidays;

ii. by emailing to support@seco.com.my;

iii. by sending message using the contact form on Website;

iv. other means of communications as maybe prescribed by S Ecosystem from time to time.

(f) “Descriptions” shall mean the descriptions, images, price, text, specifications and information of the goods and services provided on the App as described in Clause 5.1;

(g) “Force Majeure” means any circumstance or event which is beyond the reasonable control of S Ecosystem and which adversely affects the performance by S Ecosystem of its obligations hereunder, including any event caused by, arising out of or involving an acts of God, strikes, lockouts, labour disputes or other industrial disturbances, acts of the public enemy, wars, blockades, insurrections, riots, epidemics, landslides, lightning, earthquakes, fires, storms, floods, washouts, arrests, wars and restraints of rulers and people, arrests and restraints of the Government, either federal or state, inability to obtain necessary materials, labours, equipment, transportation or supplies at market costs or permits due to existing or future rules, orders and laws of governmental authorities (both federal and state), interruptions by government or court orders, official control measures, acts or disturbance of civil or military authority, acts of terrorism, governmental actions, present and future orders of any regulatory body having proper jurisdiction, civil disturbances, explosions, sabotage, partial or entire loss of market, delays in delivery or non-delivery by S Ecosystem suppliers, shortage of raw materials, energy or workers, traffic disruptions, power failures, computer failure, failure of or interruption in the provision of essential services such as electricity supply, bank payment systems or postal deliveries and any other cases of force majeure at S Ecosystem or S Ecosystem suppliers;

(h) “Offer” means your binding offer to purchase the goods and/or services from S Ecosystem via the App as described in Clause 6.2;

(i) “order confirmation” referring to the email sent by S Ecosystem to you about confirmation of acceptance of Offer as stated under Clause 6.6;

(j) “Member” means PlusOne member;

(k) “Price” means price for the goods or services as listed on the App quoted in Malaysian Ringgit (RM), as maybe amended, revised and/or corrected from time to time by S Ecosystem at its sole discretion, and exclusive of (i) the delivery fee, payment fee, handling charges and/or any other fees or charges, as may be imposed by S Ecosystem from time to time to deliver and/or process and/or complete your order; and (ii) any third-party charges or fee.

(l) “Third party” refers to and includes a reference to any agent or contractor of S Ecosystem, or of any of its related entities, and any person engaged by any of them, in the creation, provision or maintenance of the App or in the fulfilment/delivery of orders made through the App, and includes any of them;

(m) “Total Price” has the meaning ascribed to it in Clause 5.2;

(n) “User” means anyone who have registered/signed up on the App;

(o) "App" refers to www.S Ecosystem.com.my as may be amended from time to time.

 

2.2         In computing any period of time under Clause 9.1 of this Terms, the day of the act or event from which the designated period of time begins to run shall be included. The last day of the period so computed shall also be included and including a Saturday, Sunday and public holiday.

 

3.      Access/Use of App

3.1         You may access and/or use the App as a guest, user, or member.

 

3.2         To become a user of the App, you must sign up by providing your name, a valid email address, mobile number, IC number, upload a photo of your IC, and nominate a password. You will receive an email from S Ecosystem as soon as practicable after you create your user account.

 

3.3         You shall provide accurate and complete details to enable S Ecosystem to supply goods or services to you. You hereby agreed to always keep your user/membership details current and updated by accessing your account via the App or Contact S Ecosystem.

 

3.4         S Ecosystem only permit one registration per email address.

 

3.5         You must not use another user’s or member’s account without permission.

 

3.6         You must keep your password secure as you are responsible for any activity on your account. You agree to notify S Ecosystem immediately if you become aware of any security breach or any unauthorized use of your password or account.

 

3.7         If you forget your password, you may click on the forgot password button located on the App and enter your email address whereby S Ecosystem will send you an email with a password reset link; or you may Contact S Ecosystem.

 

3.8         S Ecosystem reserve the right to terminate a user’s or member’s account without notice for any reason whatsoever including without limitation, if you have breached or S Ecosystem suspect you have breached these Terms.

 

4.      Legal Capacity

4.1         You must be eighteen (18) years of age or over to register as a user or member of the App or purchase goods or services from the App.

 

4.2         Any order and/or purchase made by you using this App is an acknowledgement by you that:-

 

(a) you are over the age of eighteen (18) years;

(b) you accept these Terms;

(c) you agree that you have entered into a legal contract with S Ecosystem in relation to these Terms;

(d) these Terms, the Offer and acceptance of order constitute the entire agreement between you and S Ecosystem for the supply of goods or services; and

(e) S Ecosystem reserves the right to take legal action and seek compensation from the parent or guardian of a minor who causes an order to be placed, for any loss or damage of any kind S Ecosystem may suffer as a result of a transaction entered into by a minor.

 

5.       Goods Description, Price and Images

5.1         You shall read the descriptions, images, price, text, specifications and information of the goods and services provided on the App (collectively referred to as “Descriptions”) before you offer to purchase from S Ecosystem.

 

5.2         All prices for the goods and services on App (hereinafter referred to as “Price”) are quoted in RM (Malaysian Ringgit), inclusive of Sales Tax or SST where applicable and exclusive of delivery fee, payment fee and/or any other fees or charges, if any, which will be automatically added (with cost shown) to the total amount due when you view the selected item at the shopping cart . Prices on goods and services, delivery fee, payment fee, handling charges and/or any other fees or charges, as may be imposed by S Ecosystem from time to time to deliver and/or process your order, if any, shall hereinafter referred collectively as the “Total Price”, are subject to change at any time and shall be valid until revised, amended or removed from the App.

 

5.3         For the avoidance of doubt, the images of goods shown without any advertised price beside that image are not for sale; and unless otherwise stated, accessories shown in any image of goods are not included in the Price.

 

5.4         While every effort has been made to ensure the accuracy, correctness and completeness of the Descriptions at all times, no guarantee is given about its accuracy, correctness and completeness nor responsibility taken for all and any errors or omissions on the App and S Ecosystem shall reserve the right to correct any errors or omission without any notice and liabilities to you.

 

5.5         In the event of an error or omission on the App or made in connection with the Descriptions or your order coming to S Ecosystem attention, S Ecosystem reserves the right to correct the error and charge you the correct price. In such a situation, S Ecosystem will notify you of such error or omission as soon as possible whereby you will have the option of either (i) purchasing the goods at the correct price or Descriptions, or (ii) retracing your offer to purchase and receiving a full refund of the Price if the goods have been paid for. You shall not have any claim against S Ecosystem and S Ecosystem shall not be liable for any losses, liabilities, costs, damages, charges or expenses arising therefrom.

 

5.6         S Ecosystem also reserves the right to make any changes to the Descriptions which may be required to conform to applicable statutory requirements, without being held responsible to you for such changes.

 

6.       Order Process and Conclusion of Agreement

6.1         Representations of goods and/or services for sale made by S Ecosystem via the App do not constitute an offer to sell but mere non-binding invitation to treat. Nothing in this App is intended or shall be interpreted to mean that S Ecosystem are making a legal offer to you to purchase the goods and/or services.

 

6.2         You shall offer to purchase the goods and/or services from S Ecosystem via the App (hereinafter referred to as “Offer”) by making and communicating your Offer in the following manner:-

(a) you select the desired goods and click “add to cart” or “buy now” or any such equivalent representation;

(b) you check all items in your shopping cart and apply any necessary changes. You confirm the order details in accordance with the procedure on the App before you click the “proceed to check out” button to proceed to payment;

(c) If you have not already done so, you log into your user or member account with IC number/mobile number/email and password and enter the required customer data for the invoice;

(d) you select your fulfilment method and check your order summary before you click “proceed to payment”;

(e) you make payment in full for the Total Price by selecting the preferred payment method and confirm your acceptance of the conditions that shall apply to the purchase. Here, you can again check your order summary and make changes by clicking “back” to return to the cart. By clicking “add to cart” or “buy now” or any such equivalent representation, your Offer becomes binding.

 

6.3         The communication of your Offer is complete upon:-

(a) any and all requirements set out in these Terms have been met;

(b) the electronic instruction containing the Offer from you enters and is recorded in S Ecosystem database;

(c) record is created and stored in S Ecosystem database; and

(d) S Ecosystem receives in its account full payment of the Total Price and confirmation of that payment is received by S Ecosystem database.

 

6.4         You will receive an email confirmation from S Ecosystem as soon as practicable after your Offer has been communicated to S Ecosystem in the manner provided in Clause 6.3. This email confirmation is merely served as an acknowledgement that S Ecosystem have received your Offer, and it does not constitute S Ecosystem’s acceptance to your Offer. You agree that by communicating your Offer by clicking the relevant button on the App, you are consenting to receive from S Ecosystem the electronic confirmation and such other emails in respect of the follow up of the order sent to the email address you have provided to us.

 

6.5         S Ecosystem may, in its sole and absolute discretion, accept or reject your Offer for any reason or no reason. If your Offer is not accepted or rejected by S Ecosystem, S Ecosystem will notify you by telephone or email or other means of communications and arrange for a full refund of the Price received by S Ecosystem.

 

6.6         S Ecosystem will be deemed to have accepted your Offer by simply delivering the goods to you; or commencement by S Ecosystem of supply of the service in case the Offer are for the services.

 

6.7         An Offer, once accepted in the manner provided in Clause 6.6, you and S Ecosystem are entering into a contract for the sale and supply of goods or services governed by these Terms, and the effective date of the contract is the date on which S Ecosystem confirms by email the acceptance of Offer, unless otherwise stated.

 

6.8         You acknowledge and agree that:

(a) the transmission of your Offer or the confirmation of any payment, made through an electronic instruction may not be received by S Ecosystem for reasons beyond S Ecosystem’s reasonable control including but not limited to, electronic, mechanical, software, computer or telecommunications failure, or the omission or failure of third party App providers or systems;

(b) to the fullest extent permitted by law, S Ecosystem is not liable to you in any way for any loss or damage of any kind, however caused, arising directly or indirectly in connection with the transmission of an electronic instruction through the App, or any failure to receive an electronic instruction for whatever reason;

(c) S Ecosystem may act on and process all completed electronic instructions transmitted or issued through the App without further consent from or reference to you; and

(d) S Ecosystem may treat an electronic instruction as authentic and is under no obligation to investigate the authenticity or authority of persons issuing or transmitting such electronic instructions, or to verify the accuracy and completeness of such electronic instructions.

 

6.9         Once Offer has been communicated to S Ecosystem and payment has been completed by you in the manner provided in Clause 6.2 above, you send S Ecosystem a binding offer for the conclusion of a contract for the sale and supply of goods or services. In view thereof, any request from you for cancellation and refund will not be entertained and shall not be permitted. As such, it is your responsibility to carefully preview any proposed order before adding them to your shopping cart and proceeding with your order. If S Ecosystem allow your request for refund on their sole discretion, you shall be responsible for the payment of an administrative charge, processing fee or other charges/fee which shall be determined by S Ecosystem whereby you expressly authorize S Ecosystem to deduct such charges/fees from the amount to be refunded to you and the balance will be refunded.

 

6.10       Notwithstanding anything provided herein, S Ecosystem acceptance of order in the manner provided in Clause 6.6 is not a guarantee of delivery as it is always subject to the stock availability. You agree and acknowledge that any representations made by S Ecosystem at any time on the App about the stock availability are accurate to the last known stock level but are subject to change. If a particular goods are unavailable for whatever reason, S Ecosystem will notify you in writing and arrange for a full refund of the Price received by S Ecosystem, or you agree that S Ecosystem may perform the contract for said goods when they become available irrespective of any estimate of dates given by S Ecosystem. You shall not have any claim against S Ecosystem and S Ecosystem shall not be liable for any losses, liabilities, costs, damages, charges or expenses arising therefrom.

 

6.11       S Ecosystem may send electronic mail or digital messages to you for the purpose of informing of changes or additions to your order, if any.

 

7.       Payment

7.1         You can select one of the payments methods described on the App. S Ecosystem reserves the right to exclude or include particular payment methods at any time without notice at S Ecosystem sole discretion.

 

7.2         You should be aware that online transactions are subject to validation checks and you may be required to provide further identification for additional security reference checks. Your payment may be executed by the third-party payment service provider and/or your card issuer using their discrete secure infrastructure whom reserve the right to decline the processing of payments for any reason including in cases of suspected fraud or other irregularity and S Ecosystem shall not be held responsible for such declination to authorise payment. In this regards, you confirm that (i) you are the authorized user of the credit card, debit card or any other payment method selected by you for the payment of the order; (ii) the associated information entered (including but not limited to account holder name, account number, billing address) is true and accurate; and (iii) you expressly authorise and consent to S Ecosystem or its affiliates or subsidiaries to charge the Total Price to the credit card, debit card or any other payment method selected by you. Please note further that it is possible that your card issuer and/or third-party payment service provider may charge you an online handling fee or processing fee, in which S Ecosystem are not responsible for this.

 

7.3         The Total Price shall be paid in full in advance of dispatch of the goods or performance of the services. If there is a problem with your payment (for example, if your credit card transaction is declined), S Ecosystem may contact you to make alternative payment arrangements, without prejudice to S Ecosystem right to reject your Offer.

 

7.4         Payments made via various payment gateway accessible via the App may be subject to additional terms and conditions of these third-party payment service providers. To the fullest extent permitted by law, S Ecosystem and its related entities will not be responsible for any damages or losses of any kind (whether direct or indirect) suffered by you if your credit card, debit card, payment gateway account or other payment method is fraudulently used or is used in an unauthorized or improper manner through the App.

 

8.       Delivery of Goods

8.1         Subject to you complying with these Terms, payment of Total Price and S Ecosystem acceptance of order, S Ecosystem will sell and supply the goods or services to you as shown on your order confirmation.

 

8.2         When you complete your order, you will be prompted to select whether you wish to have the goods delivered to an address specified by you (hereinafter referred to as “Home Delivery”) or to collect the goods from a store (hereinafter referred to as “In-Store Pickup”).

 

8.3         Home Delivery

(a) The terms of this clause apply when you select to have your goods delivered to a specified address.

(b) Home Delivery is available within Peninsular Malaysia only and selected items only. Home delivery is unavailable for P.O.Box and certain outskirt area which are not accessible by S Ecosystem, rural areas and islands like Pulau Langkawi, Felda area etc. Please Contact S Ecosystem for details.

(c) Delivery fees applicable may vary depending on the type of goods purchased. The delivery fee and the purchase threshold for free delivery entitlement are subject to changes from time to time at S Ecosystem discretion without notice.

(d) Upon S Ecosystem acceptance of order and provided that the goods that you have ordered are in stock and S Ecosystem have received the Total Price, your order will be dispatched to your specified delivery address generally within seven (7) to fourteen (14) business days during office hours (9am to 5pm), unless stipulated or notified otherwise. S Ecosystem or its affiliates may contact you by telephone or email to arrange a suitable time for delivery.

(e) During major holiday seasons (including Chinese New Year, Hari Raya Puasa, Deepavali, Christmas, etc), sales or busy period, please allow an extra processing time due to high peak of orders.

(f) S Ecosystem or its affiliates will use its reasonable endeavours to deliver your order within any stated time frames for dispatch, however please note that the delivery periods specified or dates given for delivery (i) are stated in good faith and for reference only; (ii) shall not to be treated as a condition of the sale; (iii) shall not be made of the essence of contract; (iv) shall always be non-binding on S Ecosystem; and therefore S Ecosystem shall not be liable for any delay in whatsoever circumstances. S Ecosystem does not warrant that these time frames will always be met as many factors may affect these time frames including the Force Majeure Event. Such factors and/or Force Majeure Event shall cause the delivery period or dates to be postponed by the duration of the hindrance to performance, insofar as such events are relevant to S Ecosystem’s ability to deliver the goods. If delivery is delayed or may delay by more than four (4) business weeks as a result thereof, S Ecosystem shall notify you of such hindrances.

(g) If S Ecosystem gives you notice that your order will not be able to deliver within four (4) to eight (8) business weeks of S Ecosystem’s acceptance of order, due to lack of stock or Force Majeure Event or any other cause or events, you shall be entitled, with the exclusion of damage claims, to rescind the contract in respect of the quantity affected by such disruption to delivery and S Ecosystem will arrange for a full refund of Price received by S Ecosystem, thereafter you shall not have any claims against S Ecosystem. In all event S Ecosystem shall not be liable to you for any losses, liabilities, costs, damages, charges and/or expenses arising out of late delivery, no delivery or failure to deliver the goods within the specified time resulting from delivery delays for whatsoever reasons.

(h) S Ecosystem reserves the right to make deliveries by instalments in all cases and you shall not be entitled to treat any delayed or defective delivery in respect of one or more instalments as a repudiation by S Ecosystem of the whole of the contract nor to cancel your order and claim for damages.

(i) You must advise at the time you place your order via the App or later when you discuss delivery with S Ecosystem, of any difficulties that may be involved in the delivery (such as stairs or narrow entries). If you do not state the situation correctly and on arrival the delivery contractor deems it to be a difficult location, you will be liable for an extra charge including redeliver fees and the cost of an extra person to assist.

(j) S Ecosystem cannot and will not accept responsibility for delivery failures or delays by S Ecosystem third-party delivery contractor.

(k) Unless provided otherwise, no installation services provided for orders fulfilled by S Ecosystem’s third-party delivery contractor.

(l) Delivery fee is not refundable once the delivery has been despatched or taken place regardless of the subsequent return of the goods due to any reason whatsoever; or unsuccessful delivery of the goods due to an unattended recipient; or your refusal to sign the delivery for whatever reasons upon arrival of goods at the address provided.

(n) Goods will be delivered to the designated address specified by you in the order; and shall be accepted and signed by you or any person acting on your behalf (hereinafter referred to as “Nominee”) upon delivery. For the avoidance of doubt, we are entitled to assume that any person presence at the designated address specified by you and accepted the delivery of goods is your Nominee whom has been expressly authorized by you to accept the delivery of goods on your behalf, and we do not have any responsibility to verify the identity of such person or to confirm the authorization from you. Acceptance of delivery by the Nominee constitutes absolute acceptance by you.

(m) You agree to inspect the goods for any obvious faults, defects or damage before you sign for delivery. You will be required to note any damage on the delivery documentation which is presented to you by the carrier for signature. If delivery of goods to Nominee, Nominee will be responsible for storage of goods, arranging onwards delivery of goods to you (if applicable) and all risks thereof.

(o) Should the goods have not been accepted by you without valid reason (incorrect, damaged or defective goods); or is undeliverable due to error or omission on your part or if there is no one available to accept delivery on the delivery date, S Ecosystem may do either of the following:-

(i) charge you a reasonable fee incurred by S Ecosystem for storage, transport, re-delivery, administrative and any other costs and expenses. You shall pay the aforesaid fee before S Ecosystem can re-deliver the goods to you; or

(ii) cancelling the order, in which case S Ecosystem may in their discretion, either refund to you the Price received by S Ecosystem OR issue a store credit to your online account, less the reasonable fee as stated in Clause 8.3 (p)(i).

(p) As such, if you are not available to accept delivery or if you wish to change the delivery date or delivery address, you must Contact S Ecosystem for rescheduling at least three(3) days prior to the dispatch of your order. Additional delivery fee may apply.

 

8.4.        In-Store Pickup

(a) The terms of this clause apply when you select to collect your order from your nearest Senheng store. Simply select the Store Pick Up option upon checkout and nominate your preferred store location. When your order is available for pick up from your selected store location, you will receive email from S Ecosystem (which is a separate email from Clause 6.4 and Clause 6.6 above) or call from the relevant store notifying that your goods is ready for pick-up. In-Store Pickup is not applicable for big items. Should you arrange your own collection, then the goods become your responsibility and the risk pass to you upon collection from S Ecosystem.

(b) If you have purchased item(s) with the "Next Day Pickup" stamp and provided that you have received S Ecosystem’s acceptance of order by 12 noon (excluding weekend & public holidays), your item can be collected from your selected store location on the next day from 5pm onwards.

(c) During major holiday seasons, sales or busy period, please allow an extra processing time due to high peak of orders.

(d) Orders for collection at a Senheng store must be collected within fourteen (14) days from the date of notification in Clause 8.4(a) above, failing which S Ecosystem have the absolute right to:-

(i) allocate those goods to another customer and re-order the goods for you. You will be notified again once the goods are ready for pick-up;

(i) if S Ecosystem do not allocate those goods to another customer but keep the goods for you, S Ecosystem shall charge you a reasonable storage fee and other costs reasonably incurred by S Ecosystem, in which event you shall not be entitled to collect the goods until you have paid the aforesaid fees/charges to S Ecosystem; or

(i) cancel you order, in which case S Ecosystem may in their discretion, either refund to you the Price, or issue a store credit to your online account, less reasonable administration charges, storage fees and other costs reasonably incurred by S Ecosystem.

(e) Only person who placed the order may pick up the goods. When picking up your goods, you must provide the order confirmation print out, photo identification and present the credit card used for the online transaction (if only you have used the credit card as payment for goods). If you are unable to collect the order in-store personally and you wish to appoint a Nominee; or you are not available to collect your order on or within the assigned period, please Contact S Ecosystem.

 

8.5         Notwithstanding of your selection of delivery method in Clause 8.2 and the provisions of this Terms, you agree and consent that S Ecosystem may, at our discretion, engage the independent third-party courier company who offers delivery service to deliver the goods to you from time to time whenever we think it is necessary, at a delivery fee to be determined by the courier company and be borne by you. In such event, you shall be bound by the terms and conditions imposed by the courier company in addition to these Terms. S Ecosystem shall not in any circumstances be liable for the behavior, negligence, conduct, actions or inactions on the part of the courier company or for any late delivery of goods.

 

8.6         Risk in goods pass to you on delivery or collection, as the case maybe. Notwithstanding delivery/collection and the passing of risk in goods to you, and any other provision of these Terms, title in goods is intended to pass when, and shall not pass to you until payment in full of the Total Price and of all other sums which may be due by you to S Ecosystem or third party, if any.

 

9.       Return and Refund

9.1.        Save and except for goods stated in Clause 9.9, most goods are returnable if they are incorrect, damaged or defective upon delivery or collection provided that you have notified S Ecosystem in writing within seven (7) days of receipt of goods by delivery or collection. Failure to provide such notice within the aforesaid period shall be deemed conclusive evidence of you having received and accepted the goods in satisfactorily condition and as such (i) S Ecosystem shall be entitled to assume goods are satisfactory and in accordance with the contract in all respects; (ii) S Ecosystem shall not be liable for any damage, error or incorrect or any other issue on goods; and (iii) S Ecosystem shall have no further liability to you thereafter.

 

9.2         Goods are incorrect if the goods you have received is not the goods you have ordered; or the model, colour or quantity is different from what is indicated in the order confirmation; or there are missing items or parts inside the packaging. Goods are damaged if you found the goods are broken upon receipt. Goods are defective if the goods are not functioning as described by the manufacturer or if the goods or any portion of the goods fail to operate properly.

 

9.3         To be eligible for return, you must fulfil the following requirements for returns:-

(a) you have proof of purchase (order confirmation, invoice, official receipt and/or any other documents/proof of payment as maybe required by S Ecosystem);

(b) goods must be in new, perfect and good condition, returned in the original selling condition and unopened packaging (packaging remains in an ‘as new’ state) along with all original accessories (including manuals, warranty cards, certificate of authenticity) and any free gifts and vouchers received with it. All packaging must be unused, unmarked and not defaced in any manner;

(c) the goods must not have been used or installed or had any data inputted; and

(d) all securely sealed goods must not be opened, especially electronic goods (unless S Ecosystem’s service centre can ascertain that they were found defective at the time of opening).

 

9.4         If your return meets all the requirements in Clause 9.1, Clause 9.2 and Clause 9.3 and you wish to proceed with the return, please have your order confirmation, invoice and official receipt ready and simply visit any Senheng retail stores for return (for small appliances only) or Contact S Ecosystem. S Ecosystem will verify the return reason and arrange a free return pick-up for you at the time to be specified by S Ecosystem or its affiliates.

 

9.5         Once S Ecosystem or its affiliates have received your returned goods, you will receive an email confirmation notifying you that S Ecosystem or its affiliates have received your returned item. S Ecosystem’s collection or acceptance of your returned goods and/or issuance of the email confirmation shall not be construed as approval of your request to refund or exchange. You agree and acknowledge that S Ecosystem shall have sole and absolute right to approve or reject any request for exchange or refund after inspection and evaluation, without any liability to you.

 

9.6         S Ecosystem or its affiliates will conduct the inspection and evaluation within seven (7) business days from the date S Ecosystem received your returned goods.

 

9.7         If the returned goods has, after inspection and evaluation, been verified as in compliance with the returned condition as described in Clause 9.1, Clause 9.2 and Clause 9.3 above, not fall under any of the goods in Clause 9.9 and has been approved by S Ecosystem or its affiliates, you will be eligible for a full refund of the Price received by S Ecosystem, or the goods will be repaired or replaced/exchanged, at your option. S Ecosystem or its affiliates will process your refund or replacement/exchange request, based on what you have indicated to S Ecosystem or its affiliates, and notifying you on the status or the progress from time to time.  For refund, the mode of refund will be through the same mode of payment that was made in the original purchase. For replacement/exchange, one (1) time exchange is allowed for each purchase. The exchanged/replaced product will not be eligible for further exchange or refund.

 

9.8         Other than as set out in Clause 9.1, Clause 9.2 and Clause 9.3 above, your return request shall not be valid and will be rejected. S Ecosystem or its affiliates will notify you on the rejection and arrange the goods to be returned to you with payment of delivery fee to be borne by you.

 

9.9         Please note that due to final clearance, hygiene concerns, and/or suppliers' requests or policy, certain items and brands are non-exchangeable, non-returnable, and non-refundable, including but not limited to the following:-

(a) fridge and washing machine;

(b) hygiene products (including but not limited to headphones and bluetooth headsets, earphones, personal care products, health and beauty products) unless they are unopened and in their original packaging;

(c) Apple products, computer software, ink cartridges, toner and mobile phone;

(d) installed products (including but not limited to video game console, video games, air-conditioner, television (once wall-mounted);

(e) used products;

(f) products with security seal that has been broken or tampered with (including but not limited to laptops, tablets, desktop computers, software, games, DVD's, CD's, recordable media);

(g) consumables products, unless they are unopened and in their original packaging;

(h) goods marked as display unit/sets, auction items and clearance goods. These items are sold on "as is where is" basis. You are required to make a complete inspection to assess the item before purchasing; and

(i) product with contract services that have been connected (for instance iPad and smartphones).

 

9.10       The list in Clause 9.9 is non-exhaustive and S Ecosystem may determine, add, vary and/or amend the list of non-returnable goods from time to time at their sole discretion. As the list is non-exhaustive and S Ecosystem reserve the right to vary from time to time, you can always refer to the App for your goods' return/exchange eligibility or Contact S Ecosystem.

 

10.       Disclaimer and Indemnity

10.1       To the fullest extent permitted by law (and without limitation to any other provision of these Terms), S Ecosystem, and each of its related entities, exclude all liability to you or anyone else for any and all loss or damage of any kind (however caused or arising) relating in any way to the App and/or any goods or services purchased on the App including, but not limited to, loss or damage you might suffer as a result of:-

(a) you acting, or failing to act, on any information contained on or referred to on the App and/or any linked App;

(b) personal injury or property damage of any kind resulting from your access or use of the App;

(c) any unauthorized access to or use of the Apps secure servers or your account;

(d) any interruption or cessation of transmission to or from the App;

(e) any bugs, viruses, trojan horses or other harmful code or communications which may be transmitted to or through the App by any third party;

(f) errors, mistakes or inaccuracies on the App,

(g) cancellation of your order for whatsoever reasons;

(h) failure to deliver the goods or failure to deliver the goods within reasonable time period;

(i) any decision made by S Ecosystem’s discretion regarding your order or in response to any of your request for the order or goods; and/or

(j) any refund takes longer than the period stipulated in this Terms.

 

10.2       You agree and acknowledge S Ecosystem’s absolute rights to hold or cancel any order (before or after acceptance of order) with notice when deemed necessary without any liability to you for no reason or for any reason including but not limited to:-

(a) the goods is not available or no longer available;

(b)  incorrect/wrong/inaccurate price and/or description of goods on the App;

(c) full payment of the Total Price has not been received from you or payment information could not be verified;

(d) the order cannot be shipped to the address provided or where the shipping address could not be verified; and/or

(e) you have violated the Terms.

 

10.3       You agree and acknowledge that:-

(a) any text, description, price, image and other information of the goods have been carefully prepared by S Ecosystem, however no responsibility is taken for the completeness, correctness, accurateness, efficacy or timeliness of this information in all documents and digital media of S Ecosystem and on App;

(b) Whilst reasonable care and effort is taken to ensure the accurateness and reliability of the Descriptions, S Ecosystem makes no representations or warranties whatsoever (whether express or implied at common law or otherwise) about the completeness, correctness, accurateness, efficacy or timeliness of the Descriptions and all such warranties, conditions or other terms implied by laws are excluded to the fullest extent permitted by law;

(c) any typographical, clerical or other error and/or omission in the Descriptions, order confirmation, email, invoice or other document issued by S Ecosystem or on the App shall be subject to correction without any liability on the part of S Ecosystem.

 

10.4       Without limitation to the foregoing, except as expressly provided in these Terms and to the fullest extent permitted by law, S Ecosystem shall not be liable for any direct, indirect, special, incidental or consequential losses and damages arising out of your access to or use of the App, its content and any goods or services, payment gate-away and/or third party service provider notwithstanding that S Ecosystem has been advised of the possibility of such damages

 

10.5       S Ecosystem shall not be liable to you by reason of any implied warranty, condition or other term, or any duty at law, or under the express terms of the contract or by reason of any representation, whether caused by the negligence of S Ecosystem, its employees or agents or service providers or otherwise, which arise out of or in connection with the supply of the goods (including any delay in supplying or any failure to supply the goods in accordance with the Terms or at all), order or App for any direct and indirect loss, loss of profit,  special or consequential loss or damage, costs, expenses or other claims for compensation whatsoever.

 

10.6       In any event, the entire liability of S Ecosystem under or in connection with the Terms, App and/or order shall be limited to refund of the Price or exchange of goods.

 

10.7      Except as expressly stated in these Terms, S Ecosystem do not give any representation, warranties or undertakings in relation to the goods or services on the App. All contents, goods and service provided on the App are provided “as is” without warranty of any kind, either express or implied. S Ecosystem disclaims all warranty, express or implied including, without limitation, those of merchantability, fitness for a particular purpose and non-infringement. You are solely responsible for the appropriateness of the App, its content, goods and services for your intended application and use. S Ecosystem do not warrant that the App, its content, goods and services meet your requirement, Any representation, condition or warranty which might be incorporated into these Terms by statute, common law, the law of equity or otherwise is excluded to the fullest extent permitted by law. In particular, S Ecosystem shall not be responsible for ensuring that any goods or services are suitable for your purposes.

 

10.8       Any refund to be affected by S Ecosystem under this Terms will normally take times of 14 business days depending on your card issuer's policies, whilst for processing your other request (including returned goods) with response time provided in this Terms, S Ecosystem will use its best endeavour to meet the time frames. However, you agree, consent and acknowledge that the refund period or processing period as specified in this Terms shall always be non-binding on S Ecosystem and S Ecosystem does not warrant that these time frames will always be met as many factors may affect these time frames including Force Majeure Event. You shall not have any claim whatsoever against S Ecosystem and S Ecosystem shall not be liable to you for any losses, liabilities, costs, damages, interest, charges or expenses arising out of late, delay or failure to refund or process your request within the specified time for whatsoever reasons.

 

10.9       If you violate these Terms and/or any other terms and conditions on App, we may terminate your use of this App, bar you from future use of this App, and/or take appropriate legal actions against you. In addition you shall at all times indemnify, and keep indemnified, S Ecosystem, and each of its related entities, including their directors, officers, employees and agents from and against any loss (including reasonable legal costs and expenses on a full indemnity basis) or liability incurred or suffered by S Ecosystem arising from any claim, demand, suit, action or proceeding by any person against S Ecosystem where such loss or liability arose out of, in connection with or in respect of your conduct or any breach of these Terms.

 

11.       Force Majeure

11.1       S Ecosystem shall not be deemed in default and shall not be responsible or liable for any delay or failure to fulfil or perform any obligation hereunder which such delay or failure is prevented, frustrated, hindered or delayed directly or indirectly as a consequence of or due to Force Majeure event.

 

11.2       Upon occurrence of a Force Majeure event, the time for performance of obligations by S Ecosystem under these Terms shall be extended for a period equal to the time lost by reason of the Force Majeure event. S Ecosystem shall, as soon as reasonably practicable after the occurrence of any such event use commercially reasonable efforts to remove any such causes and resume performance as soon as reasonably practicable.

 

12.       Governing Law

These Terms shall be governed by and construed in accordance with the laws of Malaysia. Both parties (you and S Ecosystem) hereby submit to the exclusive jurisdiction of the Malaysia Courts which shall have exclusive jurisdiction over any claim, dispute or controversy which has arisen or may arise out of or in connection with or related to the App, order, goods and/or these Terms.

 

13.       Severability

If any provision or part of these terms shall become or shall be declared by any court of competent jurisdiction to be void, invalid, unlawful or unenforceable, such invalidity or unenforceability shall in no way affect any other clause or part of any clause and that provision or part will be deemed to be severed from the Terms and the remaining terms and provisions will remain in full force and effect and constitute the agreement between you and S Ecosystem so long as the Terms shall be capable of continuing in effect without the unenforceable term.

 

14.       Transfer and Assignment

14.1       If S Ecosystem merges, sells or otherwise changes control of its business or this App to a third-party, S Ecosystem reserves the right, without giving notice or seeking consent, to transfer or assign your personal information, App, its content, your order, any rights and responsibilities of S Ecosystem under these Terms to the third-party.

 

14.2       S Ecosystem may, without your prior written consent, assign, transfer, novate, delegate or sub-contract any of its benefit, duties and obligations under the Terms as appropriate.

 

14.3       You shall not assign, transfer, novate, charge, sub-contract, create any trust over or deal in any other manner with these Terms or all or any of your rights or obligations under these Terms without the prior written consent of S Ecosystem.

 

14.4       These Terms shall be binding upon and inure to the benefit of all of the parties hereto and their respective permitted heirs, personal representatives, successors and assigns of S Ecosystem and your permitted assigned. No person who is not a party to these Terms shall acquire any rights or be entitled to benefit from any of its terms even if that person has relied on any such term or has indicated to any party to these Terms.

 

15.       Waiver

Neither the failure nor any delay on the part of S Ecosystem to exercise any right, remedy, power or privilege under this Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any right, remedy, power or privilege preclude any other or further exercise of the same or of any right, remedy, power or privilege, nor shall any waiver of any right, remedy, power or privilege with respect to any occurrence be construed as a waiver of such right, remedy, power or privilege with respect to any other occurrence. No waiver shall be effective unless it is in writing and is signed by S Ecosystem.

 

16.       Data Privacy and Protection

You acknowledge and accept that S Ecosystem will gather and use your personal data and/or any information obtained in the process of you using the App and/or placing any order through the App. S Ecosystem are committed to protecting your privacy and the security of any information given to S Ecosystem in accordance with the Personal Data Protection Act 2010. You agree that by placing an order with S Ecosystem, you agree to be bound by the Privacy Notice, which may be amended from time to time. 17.       Entire Agreement

17.1       These Terms, constitute the entire agreement between you and S Ecosystem relating to the provision of the goods, and supersede (i) any previous agreements, undertakings or proposals, written or oral and all past courses of dealing or industry custom; and (ii) any subsequent terms or conditions in any purchase order and delivery documents, whether or not such terms or conditions are signed by S Ecosystem.

 

17.2       No oral explanation or oral information given by any party (including any information given via S Ecosystem customer service) shall alter the interpretation of these terms and conditions. In agreeing to these terms and conditions, you agree and acknowledge that you have not relied on any information, representation and warranty which has not been made expressly in these Terms from S Ecosystem or any officer, director, representative or agent of S Ecosystem in determining to place order.

 

18.       Intellectual Property Rights

18.1       All copyright and any other intellectual property right whatsoever in goods, Description or any materials and information derived there from are reserved to each respective copyright owner and you irrevocably acknowledges and agrees that supply of goods to you by S Ecosystem shall not serve to transfer any such rights.

 

18.2       No part of goods may be reproduced in any form without S Ecosystem’s prior written permission. The doing of an unauthorised act in relation to a copyright work may result in both civil claims for damages and criminal prosecution.

This privacy notice explains how we, S ECOSYSTEM (M) SDN BHD (Company No. 202101020130 (1420430-D)) process your personal data.

1. Membership Programme

When you join our membership programme, you will or have provided us with your personal data. Such personal data may include your name, identity card number, contact details, data date of birth, gender, marital status, nationality, preferred language, occupation and monthly income and financial information.

It is mandatory for you to provide us with your name, identity card number, identity card photo, and contact details and if you do not provide us with any of this information, we will not process your application or have complete information about you and may affect our membership service to you. We also process other personal data such as your purchasing habits.

We will be processing your personal data for the following purposes:-
• evaluating your application to be our member; and
• provision of subsequent services such administer the membership programme and benefits such as extended warranty and insurance, customer service, collection of payments from you and issuance of customer vouchers.

2. Contests/Campaigns

When you join our contests/campaigns, we will be processing personal data such as name, identity card, contact details and signature. It is mandatory for you to provide the required information failing which we will not be able to process your application to join our contest/campaigns. We will process your personal data to facilitate your participation in our contests/campaigns.

Periodically, we will organise contests/campaigns. If you participate in these contests/campaigns, we reserve the right to publish and/or use the above mentioned personal data for the purpose of advertisements, commerce and publicity whether online and/or offline. Your personal data may also be published on our website if you are one of the winners. We will never distribute your personal data to a third-party for financial gains

3. App

When you register for an account or use the services provided through our electronic portal such as the Senheng App ("App"), we will be processing your personal data such as your name, email address, identity card number, contact detail, billing information and other applicable demographic information. It is mandatory for you to provide us with your name, identity card number, identity card photo, contact information and email address to register for an account and also to use our services.

We will process your personal data for the following purposes:-

• to register an account with us;
• to process your orders and order fulfillment.
• to provide a more personalized experience on our App.

We may correct or supplement your address information with standardized postal representation in order to ensure that your orders are delivered. We do this since we want to make sure that our members receive the order and to lower costs associated with our programs.

When you visit our App, we automatically log your internet protocol (IP) address, your browser type and your access times. We utilize this information to conduct site performance evaluations, to see where visitors are coming from and to keep track of click stream data (the screens our users visit on our site). This data helps us to determine what content our members find most appealing so that we can maximize your enjoyment of the App. Log files are not tied to personally identifiable information.

Your demographic information (gender, date of birth, etc.) will be used for several security purposes, to ensure you are who you say you are and in fact you are paying with your credit cards and not someone using your stolen credit cards.

If you choose to use our referral service to tell a friend about our site, we will ask you for your friend's name and email address. We will automatically send your friend a one-time email inviting him or her to visit the site. We do not store this information and uses it for the sole purpose of sending this one-time email.

From time to time we may send out messages alerting you that products are available, to remind you about providing feedback or for promotional offers. In addition, you will receive communication from us 1) if you contact us for a particular reason, 2) to receive your orders, or 3) we need to contact you for administrative purposes such as winning a contest. Administrative e-mails will not contain promotional materials. If you choose to receive our newsletters or notifications, they will contain promotional materials from our App.

We may use session cookies to provide a seamless experience on the App and to combine with our log files so that we can understand our site traffic and analyze our demographic information in aggregate form. Cookies are pieces of information that your mobile phone stores which identify you when you enter the App. The ability to select samples on our app is not cookie-driven. If you have set your mobile phone to reject cookies, our site App will not identify you when you enter and you will need to manually type in your ID and password.

We may also collect information about you in connection with social networking sites. When you interact with our social networking pages such as Facebook, Instagram, Twitter and YouTube, we may collect personal data such as your name, nickname and comments. We may use the information we collected about you for the purposes listed at paragraph 4 below.

4. Other Purposes

Other than the purposes stated above, we will generally process your personal data:-

• for fulfilment purposes;
• for research, statistical, data matching and product development; and
• to communicate with you for all the above purposes.

5. Disclosure

Your personal data will also be disclosed to individuals, service providers and organisations associated with us and any other selected parties (within or outside Malaysia) for all the purposes stated above.

We will also disclose your personal data to any other party to whom such disclosure is required by law or regulatory requirement or pursuant to a Court order. If we are merged or acquired by another entity, the personal data may be transferred to such entity as a part of the merger or acquisition.

6. Marketing

Unless you opt-out, we will process your personal data for present and future marketing purposes. If you have opted to be contacted for these purposes, we may contact you by way of telephone, electronic communications or by post.

As a subscriber of our App, you may correct or update your personal data by clicking on the 'My Account' link at the top of any page, entering your IC number/mobile phone number, password and birth date when prompted and clicking the Edit Information button. The changes you make will be reflected in our databases instantly. If you wish to deactivate your account, you may contact our member services through the 'Contact Us' section.

Any request of access or correction of personal data may be subject to a fee and also to any privacy or data protection laws. Where you elect to limit our right to process the personal data, you may contact us in writing. For avoidance of doubt, the limitation does not include processing of mandatory personal data.

We have the right to amend the Privacy Notice at any time and if we do so, we will post those changes on our website www.senheng.com.my. By continuing to be our member or using our services, you are deemed to have accepted to the changes.

PLUSONE TERMS & CONDITIONS

  1. Applicants for PlusOne® Loyalty Programme must be age 18 and above.
  2. The use of PlusOne® Loyalty Programme is only applicable at all Senheng® and senQ Digital Station outlets nationwide.
  3. The PlusOne® Card/Badge/NRIC must be presented to the cashier before making any payment and/or redemption.
  4. Applicant will need to submit their personal information as may be prescribed (e.g. name, NRIC, age, contact number, email, correspondence address, ethic) to register for PlusOne® membership and S-Coin Account at any nationwide Senheng outlets or senQ Digital Stations and to keep Senheng informed of any changes.
  5. The PlusOne® Card is a member identification card not limiting to digital badges that assigned to the members. It is not a charge, credit or debit card.
  6. The PlusOne® Loyalty Programme validity period is for 12 months from the first registration date or last renewal date. Upon expiry of the validity period, the PlusOne® Membership must be renewed at the annual membership fee based on acquired membership status in order to enjoy PlusOne benefits such as extra warranty, special member price, replacement or repairing service, vouchers, rewards point, S-Coin and other promotional program.
  7. All applicants for PlusOne® Loyalty Programme will be automatically entitled for S-Coin except for PlusOne Corporate membership. Each NRIC is allowed to register for one S-Coin Account only.
  8. PlusOne Basic membership are required to convert their membership to Classic/e-Classic/Lady in order to redeem S-Coin with a total of RM100 per week, redemption is limited to a minimum of RM25 and a maximum of RM100 per transaction until the total of RM100 is used up.
  9. If an account holder is found to be or permitting the abusing and/or breaching of the terms and conditions herein, Senheng reserves the absolute right and discretion to suspend the account and/or remove or suspend any points without prior notice.
  10. Account holder(s) can choose to leave the Programme at any time. By leaving the Programme, account holder(s) waive the right to any EZ Credit Reward point(s), S-Coin Reward point(s), and e-Voucher(s) already accrued or issued.
  11. All decisions by Senheng are final, conclusive and binding. No correspondence or claims shall be entertained.
  12. PlusOne points awarded may not be assigned or transferred and shall be used exclusively by valid Cardholders. Any PlusOne points, which are not been redeemed within 3 years after the end of the calendar year in which the Points were recorded, will automatically expire and be deducted from the Points balance in a Member's account, except PlusOne® Lady Card Members.
  13. Membership Points, rewards and all related benefits are offered at the sole discretion of Senheng®. Senheng® reserves the right to add, delete, alter or amend any of these Terms and Conditions at any time with or without notice and it shall be effective for adopt. Retention or continuous use of PlusOne® Loyalty Program after the effective date of any change of terms and conditions shall be deemed to constitute acceptance of such changes without reservation by the Cardholder.
  14. Any advice or actions of our staff that is contrary to these terms and conditions will not have the effect of changing these terms and conditions.
  15. When you join our membership programme, you will or have provided your personal data. Such personal data may include your name, identity card number, contact details, date of birth, gender, marital status, nationality, preferred language, occupation, monthly income and financial information. You, by enrolment to the PlusOne® Loyalty Programme and/or provision of your personal data, consent to and expressly authorize the collection, receipt, use, retention and transfer, in electronic or other form, of your personal data by Senheng Electric (KL) Sdn. Bhd. and S Ecosystem (M) Sdn. Bhd. for any or all of the following purposes (“Purpose(s)”):
    • performing obligations in the course of or in connection with the provision of the goods and/or services requested by you;
    • verifying your identity;
    • responding to, handling and processing queries, requests, applications, complaints and feedback from you;
    • managing the customer relationship;
    • processing payment or credit transactions;
    • sending the marketing information about the goods or services including notifying you of the marketing events, initiatives and promotions, lucky draws, membership, rewards schemes and other promotions;
    • complying with any applicable laws, regulations, codes of practice, guidelines or rules, court order or to assist in law enforcement and investigations conducted by any governmental and/or regulatory authority;
    • any other purposes for which you have provided the information;
    • transmitting to any unaffiliated third parties including third party service providers for and agents of Senheng Electric (KL) Sdn. Bhd and S Ecosystem (M) Sdn. Bhd; and relevant governmental and/or regulatory authorities, whether in Malaysia or abroad, for the aforementioned purposes; and
    • any other incidental business purposes related to or in connection with the above.
  16. Senheng Electric (KL) Sdn. Bhd. and S Ecosystem (M) Sdn. Bhd may retain your personal data for as long as it is necessary to fulfil the Purpose(s) in Section 23 above, or to implement, administer and manage the PlusOne® Loyalty Programme, or as required or permitted by applicable laws.
  17. You understand that your personal data may be transferred and/or disclosed to third parties (including service providers and organisations associated with or engaged by Senheng Electric (KL) Sdn. Bhd and/or S Ecosystem (M) Sdn. Bhd) assisting in the implementation, administration and/or management of the PlusOne® Loyalty Programme and/or the Purpose(s); and you expressly authorize such transfer and disclosure as well as the retention, use, and the subsequent transfer and disclosure of the data by the recipient(s). You understand that these recipients may be located in your country or elsewhere, and that the recipient’s country may have different data privacy laws and protections than your country.
  18. All data collected disclosed to third party shall only be the purpose to supplement and facilitate the development of information technology of the Company in accordance to all purposes stated herein. The data set may contain personal characteristics of you but does not contain any information or unique identifiers that enable data handlers to identify directly from these data characteristics.
  19. We and each third party will ensure the data processed for all the purposes described herein is in accordance with the security requirement of the Personal Data Protection Act 2010 and shall only retain the data as long as necessary in order to fulfil its purpose of processing the data in accordance with each other and is responsible for the secure destruction of data when retention of data is no longer needed or necessary.
  20. We and each third party shall be responsible to develop, implement and will maintain effective information security policies and procedures that include administrative, technical and physical safeguards designed to:-
    • Ensure the security and confidentiality of data provided to the associated parties;
    • Protect against anticipated threats or hazards to the security or integrity of such confidential information;
    • Protect against unauthorised access or use of such data; and
    • Ensure the proper disposal of data

All personnel handling such data have been appropriately trained in the implementation of that party’s information security policies and procedures. Each party regularly audits and reviews its information security policies and procedures to ensure their continued effectiveness and determine whether adjustments are necessary in light of then-current circumstances including, without limitation, changes in technology, customer information systems or threats or hazards to the data.

  1. If Senheng Electric (KL) Sdn. Bhd and/or S Ecosystem (M) Sdn. Bhd is/are merged or acquired by another entity, the personal data may be transferred to such entity as a part of the merger or acquisition.
  2. You understand that you may, at any time, (a) make an access request for access to a copy of the personal data which we hold about you or information about the ways in which we use or disclose your personal data, or (b) make a correction request to correct or update any of your personal data which we hold about you, or (c) withdraw consent and request us to stop using and/or disclosing your personal data for any or all of the purposes, by submitting your request in writing and send to our email at [ ccc@senheng,com,my ]. Whilst we respect your decision to withdraw your consent, please note that depending on the nature and scope of your request, we may not be in a position to continue providing our goods and/or services, and you understand that the withdrawal of consent may affect your ability to enjoy the full benefits offered by PlusOne® Loyalty Programme and/or the full services from Senheng Electric (KL) Sdn. Bhd and/or S Ecosystem (M) Sdn. Bhd.
  3. We generally rely on personal data provided by you (or your authorised representative). In order to ensure that your personal data is current, complete and accurate, please update us if there are changes to your personal data by informing us in writing and via email at the email address provided above.
  4. Senheng® reserves the right to decline the issuance of or withdraw the PlusOne® Loyalty Program at any time or terminate membership as and when necessary without prior notice.
  5. These Terms and Conditions are translated into Bahasa Melayu and English language. In the event of inconsistency, the English version shall prevail.

S-COIN TERMS & CONDITIONS

  1. All applicants for PlusOne® Loyalty Programme will be automatically entitled for S-Coin, except for PlusOne Corporate membership. Each NRIC is allowed to register for one S-Coin Account only.
  2. Every 100 S-Coin is equivalent to One Ringgit Malaysia (RM1.00). The rate may be subjected to change due to unforeseen economic circumstances, prior to change which will be announced 3 days in advance by Senheng.
  3. The amount of S-Coin Account holder accumulated will be recorded in each account holder’s S-Coin Account. When an account holder wishes to redeem a number of S-Coin, the said number of S-Coin will be deducted from the balance last recorded in the S-Coin Account, with the oldest S-Coin earned being deducted first.
  4. All account holders redeeming S-Coin are REQUIRED to be present and to present their IC for verification.
  5. Each payment and/or redemption S-Coin shall be in the denomination of minimum 2,500 (equivalent to RM25).
  6. Account holder(s) must accumulate a minimum of 2,500 (equivalent to RM25) S-Coin to be eligible to redeem and/or make payment, with a maximum redemption of 10,000 (equivalent to RM100) S-Coin per redemption transactions.
  7. PlusOne members (Classic/e-Classic/Lady/AEON/Lazada/Citi) can redeem multiple times with a total of RM100 per week, redemption is limited to a minimum of RM25 and a maximum of RM100 per transaction until the total of RM100 is used up.
  8. PlusOne Gold members (Gold/Lady Gold/ AEON Gold/ AEON Lady Gold) can redeem a total of RM200 per week, redemption is limited to a minimum of RM25 and a maximum of RM100 per transaction until the total of RM200 is used up.
  9. PlusOne Basic membership are required to convert their membership to Classic/e-Classic/Lady in order to redeem S-Coin with a total of RM100 per week, redemption is limited to a minimum of RM25 and a maximum of RM100 per transaction until the total of RM100 is used up.
  10. The above clause 5, 6, 7, 8 and 9 will subject to changes for certain special campaigns and selected models from time to time.
  11. S-Coin can be used as an optional payment mode, and shall only be used to redeem electrical products such as Home Appliances, TV, Audio and Kitchen Appliances from Senheng/senQ outlets nationwide.
  12. All applicable taxes on S-Coin, e-vouchers or services in connection with the S-Coin Programme will be the responsibility of the account holder.
  13. S-Coin is NOT convertible to cash.
  14. S-Coin CANNOT be used to pay replacement warranty, screen crack warranty, bills, reload prepaid plans, purchase gift cards and/or pay for purchases made on Senheng/senQ online stores.
  15. Any S-Coin which is not used by the account holder within 24 months from the date of issue will automatically expire, and be deducted from the S-Coin Account. In the event of any discrepancies, the records from Senheng as to the account holder’s balance of S-Coin will be final and binding.
  16. The manner and number of ways in which S-Coin may be earned shall be determined by Senheng from time to time at its absolute discretion.
  17. If an account holder is found to be abusing, permitting the abuse, and/or breaching of the Terms & Conditions herein, Senheng reserves the absolute right and discretion to suspend the account and/or remove or suspend the S-Coin accumulated without prior notice.
  18. Account holder(s) can choose to leave the Programme at any time. By leaving the Programme, account holder(s) waive the right to any S-Coin that has already accrued or issued.
  19. All decisions by Senheng are final, conclusive and binding. No correspondence or claims shall be entertained.
  20. Senheng reserves the right to change, modify and/or amend the Terms & Conditions herein at any time without prior notice.

“SPEND & WIN” CAMPAIGN T&C

1. This campaign is open to all citizens of Malaysia above 18 years old as of 1st September 2021, except the employees of S Ecosystem (M) Sdn Bhd and their immediate families, their business partners and suppliers.

2. This campaign will run from 1st September 2021 to 30th November 2021. The Organiser shall reserve the right to shorten or extend the Contest Period.

3. This campaign is open to PlusOne members for completed transactions on the eligible products/services in the Senheng Lifestyle App.

  1. The following contest is organized by S Ecosystem (M) Sdn. Bhd. (“organizer”,”we” or “our”) and is open to all malaysian that is 18 years old and above, unless otherwise stated below (“participant(s)”,”user(s)” or “you”).
  2. The basic terms and the contest standard terms available at Senheng App platform (collectively “term and conditions”) shall be binding on you.

9 Incentive All talents will get to earn 1% commission payout per every completed sales.
10 Notification of Winner(s) / Prize collection process Winners will be direct contacted by S Ecosystem S-Livestream team via e-mail or WhatsApp one week after the Award Night.

1.      We will not be responsible if the selected winners cannot be contacted for any reason. If we failed to contact, the winners within one (1) week (“Collection Period”) prizes shall be forfeited or disposed of at the discretion of S Ecosystem or we will nominate a substitute winner within the Collection Period, at our sole discretion.

11 Additional Terms 1.      By agreeing to participate in this S-Livestream Rising Star Contest (“Livestream Contest”), the talent admits that the talent has never agreed to a legal contract or has any obligations with outsiders that will prevent talents from participating in this livestream contest.

 

2.      By agreeing to participate in this livestream contest, the talent certifies that the talent has complied with the law related to participation in this livestream contest and certifies that the talent has made any clips used in this livestream contest by themselves and does not do anything that violates the copyright intellectual property rights or the lawful rights of any other person, including a guarantee that it will not do anything which might affect the reputation or credibility of S Ecosystem.

 

3.      Talent(s) are required to attend a compulsory training session provide by S Ecosystem S-Livestream team prior to the contest period. Talent(s) are not allowed to share the training materials provided externally.

 

4.      Talent(s) are responsible for any expenses (e.g., costs, travel, costumes or equipment for the livestream shooting, makeup and hairstyling expenses) that may be incurred as a result of their own application and participation in the livestream contest.

 

5.      Talent(s) are strictly required to abide by S Ecosystem Policies at all times, including but not limited to anti-brushing policy. In the event it was found that a talent made duplicate orders from talent’s account and/ or suspicious account, S Ecosystem reserves the rights to void the point collected, at any time, in order to prevent deceitful acts and fake credibility.

 

6.      If the Talent is selected as the winner of the event, the Talent agrees to cooperate in doing special activities with S Ecosystem. Along with complying with the regulations of S Ecosystem and cooperating in public relations, not limited or publishing advertising, performances, thought any medium that us deems appropriate.

 

7.      The Talent(s) agrees for S Ecosystem to take the talent's name. Official display name and/or any marks, speech, photographs, appearance, identity of talent will be used in the Livestream Contest, not limited to livestream, audio recording, royalty-free photograph, audio-visual, or otherwise related to the S-Livestream Rising Star Contest.

 

8.      The Talent warrants that the information provided to S Ecosystem to participate in this livestream contest is true and accurate. Talents must provide personal information to S Ecosystem when participating in this livestream contest for the purpose of processing such data in connection with the provision of services or entering into contracts, and for S Ecosystem to communicate, publish, monitor, and do any other actions in connection with this livestream contest and/or to perform the contract.

 

9.      The Talent agrees that they meet all the criteria and accept the rules of participation in the Livestream Contest and agrees that S Ecosystems’ decision is final. The Organiser reserves the right to assess, exclude and/or disqualify a talent and/or revoke the rewards if it reasonably determines in its sole discretion that the Talent:

(i).      does not satisfy the eligibility criteria of the Talents above;

(ii).     are in breach of these Terms and Conditions or violate any applicable laws/regulations; or

(iii).   has attempted to undermine the Livestream Contest by fraud, cheating or deception. In the event that the authorities detect fraud in the creation of the balance will be considered void. All the rewards listed will not be awarded;

(iv).   Talent that is found or suspected of tampering with the Livestream Contest submission process will be disqualified.

 

10.   In the event that the livestream contains violence, usage of foul language, involvement of political views, immoral acts and/or aggressiveness towards competitors and/or viewers. S Ecosystem team reserves the right to contact the Talent to stop the livestream immediately. All agreement in this contract will be terminated, the Talent will be pulled from winning awards and will be forfeited from future collaborations with S Ecosystem.

 

11.   Whenever communicating on social media on behalf of S Ecosystem, it is important that you deliver a true and accurate message that S Ecosystem have instilled in their brand communications. Referring to competitors of making negative product comparisons is strictly prohibited. The Talent shall respect people, race, religions, and cultures.

 

12.   The Talent shall respect the copyright law, including your rights to fair use. Whenever the Talent communicates on social media on behalf of S ecosystem, the Talents must comply with copyright laws, and fair use rights. For example, do not claim copyright ownership of anything you have not created.

 

13.   The Talent must ensure that the Livestream Contest MUST NOT:

(i).      Contain contents that are defamatory, obscene, hateful or disdain, offensive, defamation of anyone or anything

(ii).     Support sexual content

(iii).   Support violence, racism, discrimination of any kind (e.g., racial, ethnic, religious, nationality, gender, and/or age)

(iv).   Violates copyright law, data rights and/or trademarks of others

(v).     Contain deceptive contents and certify product performance without verifiable or exaggerated information

(vi).   Contributes to breaches of obligations to third parties such as contractual or legal obligations

(vii).  Support illegal activities or provide assistance in supporting any illegal activity

(viii).Intimidate misuse, invasion of privacy of others or cause unnecessary worry

(ix).   Be offensive, attack, harass, infuriate, provoke, or annoy others

(x).     Misleading others to assume that you are someone else or plagiarizing the appearance of others

 

14.   The Talents certifies that the Talent will not say, write, communicate, or act through the media, or any channels referred to, or can be referred to, or linked to this Livestream Contest, or S Ecosystem’s Public Relations Committee or any S Ecosystem employee or any person in connection with this Livestream Contest without the prior written consent of S Ecosystem. The Talent will promptly notify S Ecosystem so that they can be contacted through S Ecosystem publicly.

 

15.   We reserve the rights to reject and remove the application by a talent who do not meet our entry procedure as stated above and due to non-fulfilment of eligibility.

 

16.   Talents must go live to promote assigned brands’ products sold in the Senheng App S-Livestream only.

 

17.   All Talents must participate in an online workshop to learn how to livestream with Senheng App S-Livestream.

 

18.   Talents are compulsory to feature at least 3 assigned brands’ products within each livestreams from the list provided by S Ecosystem, but Talents shall not show case any other competing brand’s products to the assigned brands’ product.

 

19.   Talents must feature the assigned brands’ products provided by S Ecosystem in Talent(s) livestream for at least two (2) times during Semi Final Contest Period and four (4) times during Finale Contest Period.

 

20.   The Organiser accepts no responsibility for submission that are lost, delayed, misdirect or incomplete or cannot be delivered or entered for any technical or other reason. Any incomplete submission will be disqualified.

 

21.   The Organiser accepts no responsibility for any damage, loss, liabilities, injury or disappointment incurred or suffered by the winner and/or the Talent as a result of entering into this Livestream Contest or accepting the rewards and/or prizes.

 

22.   The Organiser shall not be responsible for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction, unauthorized access to, or alteration of, user or member communications, or any problems or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, failure of e-mail or players on account of technical problems or traffic congestion on the internet and/or websites, in connection with the Livestream Contest.

 

23.   The Organiser shall not be held liable or responsible for any delay and/or failure in the receipt of participation due to inability of the respective Internet Service Provider (ISP) Company and/or telecommunication network to provide timely and/or telecommunication network to provide timely and/or efficient internet and/or telecommunication services.

 

24.   Except to the extent that they may not be excluded by law, no representations, warranties, terms or conditions that are not expressly stated in these terms or conditions apply to this Livestream Contest nor in respect of the rewards and prizes and all implied warranties are excluded, including but not limited to, the implied warranties of satisfactory quality, merchantability or fitness for a particular purpose of any of the rewards and prizes.

 

25.   We reserve the right to, at any time, change, amend, delete or add to the Terms and Conditions and other rules and regulations including the mechanism of the Livestream Contest at our absolute discretion without prior notice.

 

26.   Promotions on social media are in no way sponsored, endorsed or administered by, or associated with, Facebook, Twitter, Google Plus, Instagram, LinkedIn or any other social media platforms, where applicable. Talents agree to the relevant social media platforms from any liability in relation to this Livestream Contest.

 

27.   The Livestream Contest, and these Rules and regulations shall be governed, construed and interpreted in accordance with the laws of Malaysia, and shall be subject to the exclusive jurisdiction of the courts of Malaysia.

S-LIVESTREAM RISING STAR CONTEST VOTING TERMS AND CONDITIONS
(Vote to Support your Finalists)
These S-Livestream Rising Star Contest Voting Terms and Conditions  (“Voting Terms”),  govern your participation in the voting for the S-Livestream Rising Star Contest to be held on July 21, 2022 (Malaysia UTC +8). By participating or voting, you as an eligible user ("you" or “user”), agree unconditionally and irrevocably to be bound by, and shall be deemed to accept, these Voting Terms and all other terms of Senheng App, including the Senheng App Terms of Use, the Senheng App Privacy Policy,  which are incorporated by reference into these Voting Terms.

1. Voting Period
1.1 Semi-Final Round voting may be done from 21 July 2022 to 7 August 2022 (the “Voting Period”).
1.2 Finale Round voting may be done from 12 August 2022 to 28 August 2022 (the “Voting
Period”).

2. Voting Mechanics
2.1 These Voting Mechanics are based on the guidelines issued by the S-Livestream Rising Star Contest Organizer, S Ecosystem (M) Sdn Bhd (the “Organizer”). Votes cast under these Voting Terms shall not impact the results of the talents.
2.2 Download the new Senheng App and/or log in to your PlusOne member account on the mobile app. Only users with valid PlusOne member account are allow to vote.
2.3 Proceed to the S-Livestream Rising Star Contest Vote Landing (the “Voting Section”) on the Senheng App by click at the Pop-Up window or the floating icon of S-Livestream Rising Star Contest and/or any of the slide banner related to the contest.
2.4 The Voting Section is open to all citizens of Malaysia aged above 18 years as of 21st July 2022.
2.5 Each user is given three (3) free votes per day during the Voting Period. User can click the “Get More Votes” button to share the unique link for an extra vote and 1,000 S-Coin (worth RM10). The free daily votes shall automatically expire at the end of each day.
2.6 Every PlusOne member with the new Senheng App is eligible to vote and be a Sharer. All unused votes shall expire at the end of the Voting Period. The Free Daily Votes cannot be resold or exchanged for value or cash.
2.7 “Sharer” means the PlusOne member who is sharing the unique link. “Receiver” means the individual received & click into the unique link.
2.8 PlusOne member can share the unique link (the “Sharer”) to any citizens of Malaysia aged above 18 years. The Sharer will earn an extra vote and 1,000 S-Coin (worth RM10) upon every count of successful Receiver through the Sharer’s unique link. While the Receiver will be entitled for a Senheng RM50 discount voucher upon successful download of the new Senheng App and registering/login to the app with a PlusOne member account.
2.8 The Senheng discount voucher worth RM50 can be redeemed at any Senheng/senQ outlets nationwide with a minimum purchase of RM250.

2.10 The Sharer will earn an extra vote and 1,000 S-Coin (worth RM10) upon every count of successful action by Receiver through the Sharer’s unique link.
2.11 Count of a successful action is while the Receiver had downloaded the new Senheng App and registered/login to the app with a PlusOne account from the Sharer’s unique link.

2.17 Employees of S Ecosystem (M) Sdn Bhd, Senheng Electric (KL) Sdn Bhd, and Senheng New Retail Bhd are not entitled to earn the 1,000 S-Coin nor compete in the Share & Earn Campaign Leader Board, but is entitled to share the unique link and get a maximum of one Senheng RM50 discount voucher.
2.18 The decision of the Organizer shall be final and unappealable.

3. Your Obligations
By using the new Senheng app and/or voting for a talent, you acknowledge and agree that:
3.1 You shall not participate or vote, or permit others to participate or vote, in any manner, which may adversely affect any other users’ participation, the results of the voting, or the reputation of the organizer or the participant.
3.2 You shall comply with all third-party terms (including, without limitation, any applicable terms of use, privacy policies and guidelines of said third party) provided by sharing channels where such sharing channels are used to share your vote or the Voting Section, and you shall not, as part of your participation, breach any of these terms.
3.3 By sharing your vote or the Voting Section on any of the abovementioned sharing channel, you expressly consent to the sharing of your personal data and other information pursuant to third-party sharing channel’s privacy policy. You shall be responsible for all
information that you communicate, submit, transmit or otherwise make available, whether
to the organizer or third parties.
3.4 You agree that Senheng App may collect and process your personal information, including name and email, for the purposes of the giveaway under these Voting Terms in accordance with our Privacy Policy.
3.5 You shall not use, share, download or process any content or image on the Senheng App, including images, videos and information of the talents, for any personal or commercial reason, except to vote for a talent in the Voting Period in accordance with
these Voting Terms.
3.6 You shall comply with all applicable laws and regulations fully when voting for this SLivestream Rising Star Contest talents.
3.7 You shall not run any other programs that has been provided in the Senheng App. This refers in particular to automated bots and other tools meant to replace or supplement the mobile application interface. In addition, scripts and completely or partially automated
programs providing you with any advantage over other users shall be prohibited, including without limitation, auto-refresh functions and other integrated browser mechanisms that use or concern automated procedures.
3.8 Where the Organizer deems or reasonably suspect that you have breached any of these Voting Terms or other policies of the Organizer reserves the right, without prior notice, to:
a. Prohibit you from voting on the Senheng App, or prevent or restrict your access the Senheng App;
b. Report any activity it suspects to be in violation of any applicable law, statute or regulation to the appropriate authorities and to co-operate with such authorities; and/or
c. Cancel or void any vote submitted using the Senheng App.
3.9 Notwithstanding the preceding provision, the Organizer reserves the right to take any action against you that it deems necessary, including but not limited to suspension or termination of accounts, without prior notice, where the Organizer deems or suspects that any of your actions are abusive, fraudulent, or in breach of your agreement with the Organizer.

4. Miscellaneous
4.1 The Organizer reserves the right to alter, modify, add to or otherwise vary these Voting Terms at any time, including when directed by the S-Livestream Rising Star Contest.
4.2 The Organizer likewise reserves the right to determine, in its own discretion and without your right to appeal, whether a vote has been validly submitted, your eligibility to vote, the result/tally of the votes, and your eligibility to earn additional votes.
4.3 You accept that S Ecosystem (M) Sdn Bhd (the “Organizer”) shall not be responsible to you for any loss, damage, fine, regulatory action, claim or compensation of whatever nature arising from or related to these Voting Terms, including but not limited to (i) your breach of these Voting Terms, (ii) any alleged unauthorized transactions, disruptions, errors, defects or unavailability of the app or mobile site.

  1. This campaign is open to all citizens of Malaysia above 18 years old as of 6 June 2021.

“SHARE & EARN” CAMPAIGN T&C

  1. This campaign is open to all citizens of Malaysia aged above 18 years as of 1st July 2022.
  2. This campaign will run from 1st July 2022 to 31st August 2022. The Organiser reserves the right to change the Campaign Period at its absolute discretion.
  3. Every PlusOne member that downloaded the new Senheng App will have their own unique referral voucher link from the Refer A Friend page located in the Profile tab / Refer, Earn & Win Campaign Page.
  4. “Referrer” means the PlusOne member who is sharing the unique voucher link. “Referee” means the individual receiving the unique voucher link.
  5. Every PlusOne member with the new Senheng App is eligible to be a referrer in this campaign.
  6. Referrers can share the referral voucher link to their family and friends (referee).
  7. Referrers can share the Senheng discount voucher worth RM50 that can be redeemed at any Senheng/senQ outlet nationwide with a minimum purchase of RM250.
  8. Voucher terms and conditions are stated and available on the voucher page.
  9. Referees will only be eligible to use the Senheng RM50 discount voucher upon successfully downloading the new Senheng App and registering/login to the app with a PlusOne account.
  10. Referrers will earn 1,000 S-Coin (worth RM10) upon every count of successful referees through the referrer’s referral voucher link.
  11. Count of a successful referee is taken once the referee has downloaded the new Senheng App and registered/login to the app with a PlusOne account from only the first referrer’s voucher link.
  12. Every PlusOne member can only get a maximum of one (1) Senheng RM50 discount voucher, including those PlusOne members that have already downloaded the new Senheng App and login to the PlusOne account upon access/click the referral voucher link shared by their friend.
  13. Second time access/click on the second referrer’s referral voucher link will not be eligible to earn 1,000 S-Coin nor to compete in the Referral Leaderboard, and the referee is not eligible to earn a Senheng RM50 discount voucher. S Ecosystem retains its absolute right to disqualify any rewards or prizes at its discretion.
  14. Referrers are eligible to compete in the Referral Leaderboard once there’s any successful referee count under one referrer’s voucher link.
  15. S Ecosystem (M) Sdn Bhd reserves the right to publish the photos and names of the top 20 referrers in the Referral Leaderboard for marketing purposes

  1. The Top 11 referrers that have the highest referee count will win the above mentioned prizes.
  2. In the event of referrers that gained the same number of referee count, the winner will be recorded based on timestamp. Referrers that gained the higher number first will be the winner.
  3. Attempts to contact the winner shall be made with best effort by S Ecosystem and the winner is responsible to respond within 48 hours, failing which S Ecosystem will proceed to disqualify the winner and draw the next winner.
  4. The Prize is not exchangeable for credit, cash, or kind by the winner.
  5. Announcement of winners will be made within 30 days from the end of the campaign.
  6. Prize fulfilment will be made within 60 days from the end of the campaign.
  7. In the event of a prize giving ceremony, winners are required to attend at his/her own expense. In the event the winner is not able to attend, the winner must nominate a representative to be present and accept the prize on his/her behalf. Failure to attend the prize giving ceremony may result in forfeiture of the prize.
  8. Winners shall assume full liability in case of any accident, injury, damage, loss or claim resulting from participation of this campaign, redemption and/or usage of their prizes.
  9. The grand prize item might vary in colour based on availability. The Organizer retains its absolute discretion on the colour of the grand prize item.
  10. PlusOne Corporate members are eligible to share the referral voucher link, and eligible to get the Senheng RM50 discount voucher upon successful download & register/login and eligible to compete in the Referral Leaderboard. However, PlusOne Corporate is not eligible to earn S-Coin upon successful referee download & registration/login.
  11. Employees of S Ecosystem (M) Sdn Bhd, Senheng Electric (KL) Sdn Bhd, and Senheng New Retail Bhd are entitled to earn the 1,000 S-Coin and compete in the separate internal Referral Leaderboard, and also is entitled to share the referral voucher link and get a maximum of one Senheng RM50 discount voucher.

  1. This campaign is open to PlusOne members who have completed the transaction of purchasing Genting SkyWorlds Theme Park tickets on the Ticketing service in the Senheng App.
  2. This campaign is only valid for the available tickets only as of 1st July 2022 only.
  3. All tickets must be redeemed on the specific date selected during purchase checkout.
  4. Each PlusOne member is entitled to earn 10% S-Coin Cashback for each Genting SkyWorld Theme Park ticket purchase transaction completed in the Ticketing service in the Senheng App.
  5. Free ticket is only applicable for ‘Other’ Genting SkyWorld Theme Park ticket in Ticketing service in the Senheng App.
